These terms apply to all services provided by Orbiting Apps Developers (formerly Alpha Premier Technologies), ABN [ABN] (“we”, “us”, “our”) to you (“you”, “your”). By accepting a quote, paying an invoice or using our services, you agree to these terms. If a signed proposal or agreement with you says something different, that document applies for that project.
1. Our services
We provide website design and development, mobile app development, identity and print design, digital marketing (including SEO and Google Ads), IT support, domain name registration, web hosting and email hosting. The exact work, timing and cost for your project are set out in your quote.
2. Quotes and changes
- Quotes are valid for 30 days unless they say otherwise.
- Work outside the agreed scope, or extra rounds of changes, may cost more. We will always tell you and get your approval first.
- Timelines depend on you supplying content, feedback and approvals on time.
3. Payments
- Projects may need a deposit before work starts, with the balance due on completion or at agreed milestones.
- Invoices are due by the date shown on the invoice.
- Domain, hosting and email services are paid in advance for each billing period and renew automatically unless you cancel before the renewal date.
- If an invoice is overdue, we may pause work or suspend services until it is paid. We will give you notice before we do.
4. Your responsibilities
- You confirm that you own, or have permission to use, all content, images, logos and trademarks you give us.
- You are responsible for the accuracy and legality of your content, and for your own website’s privacy policy and terms.
- You agree to keep your passwords safe and to tell us promptly about any unauthorised access.
5. Websites and apps
- We will show you designs and a working version for approval before launch. Your approval confirms you are happy for the work to go live.
- Apple and Google decide whether to accept apps into their stores. We follow their guidelines but cannot guarantee approval or how long reviews take.
- After launch, updates to WordPress, plugins, operating systems and app store rules may need ongoing maintenance, which can be covered by a support plan.
6. SEO and digital marketing
We follow search engine best practice, but no one can guarantee a particular ranking, traffic level or number of leads, because search engines control their own results. Google Ads spend is paid to Google and is separate from our management fees, unless your quote says otherwise.
7. Domain name registration
- Where possible we register domains in your name or your business’s name, so you are the registrant.
- Domains are subject to the rules of the relevant registry, including auDA’s licensing rules for .au domains. You must give accurate registrant details and keep them up to date.
- Domains must be renewed before they expire. We send renewal reminders, but it is your responsibility to keep payment current. An expired domain may stop your website and email working, and may be lost.
- You can transfer your domain to another provider at any time, provided all amounts owing for it are paid.
- Registering a domain does not give you trademark rights, and the registry may suspend or cancel domains that breach its rules.
8. Web hosting
- We aim to keep hosted websites online at all times, but we cannot guarantee uninterrupted service. Planned maintenance, provider outages and events outside our control can cause downtime.
- Hosting plans have limits on storage, bandwidth and resources. If your site regularly goes over them, we will talk to you about upgrading.
- You must not use hosting for anything illegal, harmful or abusive, including malware, spam, copyright infringement or content that breaches Australian law. We may suspend a service that does, to protect our other clients.
- We take regular backups where your plan includes them, but you should also keep your own copy of important content.
9. Email hosting
- Mailboxes have storage limits set by your plan.
- You must not use email services to send spam or bulk unsolicited messages. All marketing email must comply with the Spam Act 2003 (Cth).
- We use spam and virus filtering, but no filter is perfect. We cannot guarantee that every message will be delivered, or that no unwanted message will get through.
10. IT support
- On-site visits are available across the Sydney metro area. Remote support only takes place with your permission and while you are aware it is happening.
- Please back up important data before we start work. We take care, but we are not responsible for data loss caused by existing hardware faults, failed drives or software you supplied.
- Hardware and software we supply are covered by the manufacturer’s warranty, and by your rights under the Australian Consumer Law.
11. Ownership and intellectual property
- Once you have paid in full, you own the final designs, content and code we create specifically for you.
- Third-party items such as WordPress, plugins, fonts and stock images remain subject to their own licences.
- We keep ownership of our general tools, code libraries and know-how, and may reuse them in other work.
- Unless you ask us not to, we may show the finished work in our portfolio and marketing.
12. Confidentiality
We keep your business information, logins and data confidential, and only use them to provide our services. Our Privacy Policy explains how we handle personal information.
13. Liability
Nothing in these terms excludes your rights under the Australian Consumer Law. To the extent the law allows, our total liability for any claim is limited to supplying the services again, or refunding the fees you paid for the services concerned. We are not liable for indirect losses such as lost profits or lost data, or for problems caused by third-party providers, registries or events outside our reasonable control.
14. Cancellation
- You can cancel a project at any time by telling us in writing. You will pay for the work completed up to that point and any costs we have already committed to.
- Domain, hosting and email services can be cancelled before their next renewal date. Fees already paid for the current period are not refundable, except as required by law.
- Before a hosting or email service ends, we will help you take a copy of your website files and mailboxes.
15. Changes to these terms
We may update these terms from time to time. Changes apply from the date they are published on this page and do not affect work already quoted, unless you agree.
16. Governing law
These terms are governed by the laws of New South Wales, Australia.
